This website provides a platform, which assists applicants, acting through their authorised users, to electronically confirm and sign HSBC documentation including for the purposes of opening, maintaining and closing a business account, and accessing related products and services (the “Site”). Once you, being the authorized user, has logged on to the Site, you will be redirected to a third party electronic signature platform, through which you will be able to access and electronically sign HSBC documentation.

The Site allows members of the HSBC Group to duplicate relevant completed data fields and pre-populate data fields to support the opening of multiple business account(s) for the same party or entity or a connected entity or an entity which is part of the same group of companies within the same country/region or in a number of other countries/regions. Use of the Site includes accessing, browsing or logging in to use the Site.

In order to access the Site and be redirected to the third party electronic signature platform to electronically sign HSBC documentation, you need to provide your personal authentication credentials as required by us, which may include your email address and mobile telephone number.

The Site is operated by HSBC Bank plc ('we', 'us' and 'our'). HSBC Bank plc is incorporated in England and Wales and established at 8 Canada Square, London E14 5HQ which is its registered office. By accessing the Site you agree, acting on behalf of the entity or party and/or group of companies you represent, that these terms and conditions which govern the use of the Site (“Site Terms and Conditions”) are binding on you and the entity or party and/or group of companies you represent and may be enforced by us, and any member of the HSBC Group from time to time. Before using this Site, you should read carefully these Site Terms and Conditions. If you are not authorised to act and to electronically sign HSBC documentation on behalf of the entity or party and/or group of companies on whose behalf Site access is granted, you must not attempt to access the Site, and you should immediately notify your HSBC contact.

Order of precedence

From this Site you will be redirected to the Adobe Sign platform which is subject to Adobe’s own specific terms and conditions, privacy and cookie statements including disclaimers, and which will form a separate legal agreement between you, the Applicant, and Adobe ('Specific Terms and Conditions').

To the extent that there is any conflict between any of the terms and conditions, the following shall be the order of precedence in relation to such conflict:

1. Specific Terms and Conditions; and

2. Site Terms and Conditions.

Note that particular products and services provided by any member of the HSBC Group will have their own terms and conditions which will form the legal agreement between you and that member of the HSBC Group. You should carefully read such terms and conditions before obtaining the product or service from that member of the HSBC Group.

Site Terms and Conditions

We may amend the Site Terms and Conditions at any time without notice. Your use of the Site after such amendment will be subject to the Site Terms and Conditions as amended.

Privacy Notice

We collect and process the information you provided in accordance with the privacy notice of the HSBC Bank located in the country/region in which your business account is to be opened. We may store your information locally or overseas, including in data centres operated by us, the HSBC Group, third parties or cloud providers. Please note that the Site will only retain data for a period specified in a privacy notice or otherwise as long as there is a business reason to do so. Information contained in any uncompleted forms will be deleted regularly from the Site.

It is your responsibility to ensure that only you as authorised user is permitted to access and/or share information contained on this Site.

Please read the applicable privacy notice for more details of the purposes for which we process your information, and customers’ rights regarding their data.

Availability of the Site and products and services

The content, including layout, of this Site and the products/services available via this Site including the authorized user registration and authentication functionalities and the re-direction to Adobe Sign platform (“the Services”) may be wholly or partially suspended, withdrawn or changed at any time. We reserve the right at any time to immediately suspend the provision of all or any part of this Site to you and/or block your access to this Site.

The Services that you may be able to receive via the Site are not available in all geographical locations; the relevant HSBC Group member reserves the right to make the final determination on whether or not you are eligible for the Services.

Submitting information to the Site

You are responsible for ensuring that any content you upload to the Site or the Adobe Sign platform is free from viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. We may reject and delete any content which we, in our sole view, consider may be malicious or technologically harmful.

You must ensure that you have all appropriate permissions prior to providing or uploading any information to this Site or the Adobe Sign platform. We or any HSBC Group member will not be responsible, or liable to any third party, for the content or accuracy of any information posted by you. We or the relevant HSBC Group member may pre-populate sections of the forms on the Site to support you in the registration and authentication process, but this does not in any way limit your responsibility to ensure the information that you provided or uploaded on the Site is up-to-date, true, accurate and complete.

Any information provided to this Site will be subject to these Site Terms and Conditions and your personal information will be handled in accordance with our Privacy Notice. Whenever you provide information to the Site, you grant us a limited licence to use, store and copy that information as described in the Site Terms and Conditions and any other relevant agreement between you and a member of the HSBC Group.

No warranties

Other than the warranties and representations contained in the Site Terms and Conditions, all other warranties and representations, whether express, implied or statutory are, to the fullest extent permitted by the law, excluded. The use of the Site is at your sole risk.

While we have taken reasonable steps to ensure the accuracy, currency, availability, correctness and completeness of the information contained on the Site, information is provided on an "as is" and "as available" basis.

Neither we nor any other member of the HSBC Group represent or warrant that the Site will be available and meet your requirements, that access will be uninterrupted, that there will be no delays, failures, errors or omissions or loss of transmitted information, that no viruses or other contaminating or destructive properties will be transmitted or that no damage will occur to your computer system. You have sole responsibility for adequate protection and back up of data and/or equipment and for undertaking reasonable and appropriate precautions to scan for computer viruses or other destructive properties.

Neither we nor any other member of the HSBC Group make any representations or warranties regarding the accuracy, functionality or performance of any third party software that may be used in connection with the Site.

No reliance on information

The content of the Site is not intended to amount to advice on which you should rely and is provided for general information only. You should obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on the Site.

Authentication Details and security

In order to use the Site, you will need to provide your personal authentication credentials as required by us, which may include your email address and mobile telephone number ('Authentication Details') in accordance with our procedures in place from time to time. You must inform your HSBC contact or relationship manager immediately of any unauthorised access to the Site using your Authentication Details or any unauthorised instruction which you know of, or if you suspect someone else knows your Authentication Details.

You are wholly responsible for use of the Site by any person using your Authentication Details. We reserve the right to suspend access to the Site in the event that we suspect that an unauthorised person is attempting to access the Site using your Authentication Details or access credentials.

Adobe Sign platform -and electronic signature

When we redirect you to the Adobe Sign platform, you will be able to access HSBC documentation that is required to be signed by you electronically, as authorized user of the Applicant, in support of, among other things, the business account opening application and application of other products and services (if applicable). You are accessing the Adobe Sign platform independently in your capacity on behalf of the Applicant and directly contracting with the platform operator, Adobe, by duly accepting the Adobe’s Specific Terms and Conditions and other legal documents applicable to your use of the Adobe Sign platform. Neither we nor any other member of the HSBC Group are responsible for the content of the Adobe Sign platform or its services and functionalities. The use of the Adobe Sign platform shall be at your own risk; neither we nor any other member of the HSBC Group shall be responsible or liable for any damages or in any other way in connection with your access and use of the Adobe Sign platform.

No endorsement, approval or responsibility for appropriateness of Adobe or its advice, opinions, information, products or services is expressed or implied by any information on this Site or by the fact that you will be redirected to the Adobe Sign Platform.

Links to the Site

We reserve the right to withdraw permission to access or use our Site without notice. Neither we nor any other member of the HSBC Group are responsible for the set-up of any link from a third party website to the Site.

Intellectual property rights

All intellectual property rights (including, without limitation, copyright, database rights, design rights, patents and trademarks) in this Site are owned by or licensed to us unless otherwise stated.

You may print, copy, download or temporarily store extracts from this Site for your use or to help you use or apply for our products and services. Any other use is prohibited unless you first get our written permission. Without limiting the above, unless you first get our written consent, you may not reproduce, modify, adapt, transmit, publish, broadcast, create derivative works of, store, archive or in any way exploit all or any part of this Site.

Internet and e-mail communications

Messages sent over the internet (including e-mail) cannot be guaranteed to be completely secure as they are subject to possible interception, monitoring, delay, loss or alteration.

Neither we nor any other member of the HSBC Group are responsible for any such messages nor liable to you or anyone else for any damages or otherwise in connection with any messages sent by you to us, any other member of the HSBC Group or any other party or any messages sent or appearing to be sent by us, any other member of the HSBC Group or any third party to you over the internet (including e-mail). You should not include any sensitive or confidential information in such messages.

Our monitoring of communications

To help us improve our service and in the interest of security, we or a member of the HSBC Group may monitor and/or record communications (whether over the Internet, telephone or otherwise) between you and us. All recordings are our sole property.

Miscellaneous

Any notice to be given under these Site Terms and Conditions must be communicated by post, email or facsimile to the address most recently notified by the receiving party. Receipt of notice shall be deemed to occur at the time when the notice would in the ordinary course be delivered or transmitted. If any part of these Site Terms and Conditions is found by any court or other competent authority to be invalid, unlawful or unenforceable then such part shall be severed from the rest of such terms which shall continue to be valid and enforceable to the fullest extent permitted by law.

Exclusion of our liability

To the extent permitted by law, neither we nor any member of the HSBC Group shall be liable for any damage, loss or liability (whether arising in contract, tort, including negligence, or otherwise) arising out of or in connection with (a) your use of this Site; (b) your reliance on or your inability to use the Services on this Site; and/or (c) any failure in performance, error, omission, interruption, defect, delay in operation or transmission, computer virus or line or system failure to this Site or your use or attempted use of it.

The above exclusions apply to any damage which is direct, indirect, special, incidental or consequential or consists of loss of profits, business, opportunity or data. All of the above exclusions apply even if you have advised us or any other member of the HSBC Group of the possibility of the above types of damage, loss or liability. Nothing in these terms shall exclude or limit the liability of any member of the HSBC Group in relation to fraud, personal injury or death.

E-Signatures

In order to subscribe for products or services electronically, to receive documents that are required to be “in writing” in electronic form and to sign documents electronically, you will need to agree to the use of electronic signatures and records in your dealings with us. Your agreement applies to any transaction that you complete with us or any document that we may communicate between us. Electronic communications may be delivered to you by making them available via the relevant service, including via Site or the Adobe Sign platform, or by sending you an external email at the email address you have provided to us. All such electronic communications will be effective when a notification is made available or sent to you, and you hereby waive all claims resulting from failure to receive communications because of your failure to access the relevant service or changes in your contact details.

By agreeing to these Site Terms and Conditions, you, as the account owner and/or authorised user of the Site, consent to the use of electronic records and signatures in all of your dealings with us. You are also confirming that you are authorized to, and do, consent on behalf of all of your co-applicants and co-owners of any product or service we provide to you.

Governing law

These Site Terms and Conditions are governed by and are to be interpreted in accordance with the laws of England and Wales. The courts in England and Wales will have non-exclusive jurisdiction in respect of any dispute which may arise in connection with these Site Terms and Conditions or your use of this Site.
